Participating Parties
Since June 2018, after the signing of the Conduct Adjustment Term (TAC Governance) by the Renova Foundation, its maintainers - Samarco, BHP Billiton and Vale - and the ministries and public defenders on federal level and of the states of Minas Gerais and Espirito Santo, affected communities have the right to vote and effective participation in decisions regarding the reparation process. The agreement includes the population in all governance structures of the Renova Foundation, which now has an Interfederative Committee (CIF), Technical Boards, Regional Boards and Local Commissions, Trusteeship of the Prosecution Service of Minas Gerais (MPMG), Independent Audit, Compliance, Ombudsman’s Office, Observers Forum, Supervisory Board, Advisory Council and Trustee.

Interfederative Committee
The Interfederative Committee (CIF) functions as an external and independent body of the Renova Foundation. Its function is to guide, follow, monitor and supervise the execution of reparation measures, promoting permanent dialogue between the Foundation, public bodies, public entities involved, and those affected.
The CIF has the following composition, all with the right to voice and vote:
- 2 representatives of the Ministry of Environment;
- 2 other representatives of the Federal Government;
- 2 representatives of the State of Minas Gerais;
- 2 representatives of the State of Espirito Santo;
- 2 representatives of the affected municipalities of Minas Gerais;
- 1 representative of the affected municipalities of Espirito Santo;
- 3 affected residents or technicians nominated by them, guaranteeing representation of people from the States of Minas Gerais and Espirito Santo;
- 1 technician appointed by the Public Defender’s Office;
- 1 representative of CBH-Doce.

Technical Boards
The Technical Boards are advisory bodies set up to assist the Inter-federative Committee to comply with its purpose to guide, track, monitor and supervise the implementation of socioeconomic and environmental programs managed by the Renova Foundation. TAC Governance guarantees the participation in the Technical Board s, with the right to speak and without the right to vote, of 2 members of the Public Prosecution Service and 1 of the Public Defender’s Office, in addition to the representatives nominated by those affected, who can count on the assistance of their respective technical advisors at meetings.
Technical Board s for Socioeconomic Programs:
1. Communication, Participation, Dialogue and Social Control.
The Technical Board of Communication, Participation, Dialogue and Social Control is responsible for guiding, tracking, monitoring and supervising the following program:
- Communication, Participation, Dialogue and Social Control.
2. Economy and Innovation
The Technical Board of Economy and Innovation is responsible for guiding, monitoring, supervising and inspecting the following programs:
- Support for research for the development and use of socioeconomic technologies applied to impact remediation;
- Resumption of aquaculture and fishing activities;
- Resumption of agricultural activities;
- Recovery and diversification of the regional economy with incentives for industry;
- Recovery of micro and small businesses in the commerce, services and production sectors;
- Encouraging the hiring of local labor;
- Reimbursement of extraordinary public expenses.
3. Social Organization and Emergency Aid
The Technical Board of Social Organization and Emergency Aid is responsible for guiding, tracking, monitoring and supervising the following programs:
- Survey and registration of those impacted;
- Reimbursement and compensation for those impacted;
- Social assistance;
- Animal assistance;
- Emergency financial assistance;
- Management of socioeconomic programs.
4. Indigenous people, traditional peoples and communities
The Technical Board of Indigenous and Traditional Peoples and Communities is responsible for guiding, tracking, monitoring and supervising the following programs:
- Protection and recovery of the quality of life of indigenous peoples;
- Protection and recovery of the quality of life of other traditional peoples and communities.
5. Infrastructure Reconstruction and Recovery
The Technical Board for Infrastructure Reconstruction and Recovery is responsible for guiding, tracking, monitoring and supervising the following programs:
- Reconstruction, recovery and relocation of the communities of Bento Rodrigues, Paracatu de Baixo and Gesteira;
- Recovery of the Risoleta Neves Hydroelectric Power Plant;
- Recovery of other impacted communities and infrastructure between Fundão and Candonga, including Barra Longa.
6. Education, Culture, Recreation and Information
The Technical Board of Education, Culture, Recreation and Information is responsible for guiding, monitoring, supervising and inspecting the following programs:
- Recovery of schools and community reintegration;
- Preservation of historical, cultural and artistic memory;
- Support for tourism, culture, sports and recreation;
- Environmental education;
7. Health
The Technical Health Board is responsible for guiding, monitoring, supervising and inspecting the following programs:
- Program to Support the Physical and Mental Health of the Impacted Population;
- Actions related to monitoring the quality of water for human consumption under the Program for improving water supply systems;
Technical Board s for Socio-Environmental Programs
1. Conservation and Biodiversity
The Technical Board of Conservation and Biodiversity is responsible for guiding, tracking, monitoring and supervising the following programs:
- Conservation of aquatic biodiversity, including freshwater, coastal and estuarine zones and impacted marine areas;
- Strengthening structures for screening and reintroduction of wildlife;
- Conservation of terrestrial fauna and flora;
- Consolidation of conservation units.
2. Waste Management and Environmental Safety
The Technical Board of Tailings and Environmental Safety Management is responsible for guiding, tracking, monitoring and supervising the following programs:
- Management of waste resulting from the collapse of the Fundão dam, considering conformation and stabilization, excavation, dredging, transport, treatment and disposal;
- Implementation of waste containment and treatment systems for impacted rivers;
- Preparation for environmental emergencies;
- Environmental risk management in area 1 of the Doce River Basin.
3. Forest Restoration and Water Production
The Technical Board of Forestry Restoration and Water Production is responsible for guiding, tracking, monitoring and supervising the following programs:
- Recovery of environmental area 1 in the municipalities of Mariana, Barra Longa, Rio Doce and Santa Cruz do Escalvado, including bioremediation;
- Recovery of Permanent Preservation Areas (APP) and recharge areas in the Doce River Basin to control erosion processes;
- Spring recovery;
- Promotion of the implementation of the Rural Environmental Registry (CAR) and Environmental Regularization Programs (PRAs) in environmental area 1 of the Doce River Basin;
- National and international communication;
- Management of the environmental recovery plan for the Doce River Basin, estuarine, coastal and marine areas.
4. Water Security and Water Quality
The Technical Board of Water Safety and Quality is responsible for guiding, tracking, monitoring and supervising the following programs:
- Collection and treatment of sewage and solid waste disposal;
- Improvements to the water supply system;
- Investigation and monitoring of the Doce River Basin, estuarine, coastal and marine impacted areas.
ROLE OF THE PUBLIC PROSECUTION SERVICE OF MINAS GERAIS (MPMG)
The Prosecution Service has been monitoring the activities of the Renova Foundation from the beginning. Its representatives can, at any time, participate in council meetings, management meetings or any other forums and activities of the Foundation.
INDEPENDENT AUDIT
Independent external audit that ensures transparency in the monitoring and inspection of the investments made and the results achieved by the Renova Foundation.
Regional Boards
With the function of integrating under a same view all needs of neighboring municipalities, up to six Regional Boards will be formed, with independent constitution and organization, besides access to technical advisory services. They have the power to propose reparation actions and programs, as long as they are in agreement with the Renova Foundation and respect the limits of the Transaction and Conduct Adjustment Agreement (TTAC) and TAC Governance.
Local Commissions
They are the closest structure to the community, formed voluntarily by those affected who live in the impacted regions, including indigenous peoples and other traditional peoples and communities. The commissions are responsible for deciding their composition and functioning. They have the function of proposing adjustments to the actions in progress in the territory in scope; know, understand and supervise the work of the Renova Foundation in progress in their respective territory and keep the community informed of what is planned and happening locally.
IUCN INDEPENDENT PANEL
The Doce River Panel is an independent technical and scientific advisory panel, managed by the International Union for the Conservation of Nature and Natural Resources (IUCN), to provide technical recommendations to the Renova Foundation, with the critical objective of monitoring the evolution of scientific components of the reparation process in the Doce River Basin after the collapse of the Fundão dam.
The Doce River Panel’s recommendations are presented in the format of Thematic Reports and articles in the Questions in Focus series, seeking to ensure a long-term positive impact. Experts define the priority topics for preparing reports, drawn from evidence-based, publicly available information obtained from a wide range of disciplines and perspectives.

Board Of Governors
The Board of Governors, the normative, deliberative and management control body of the Renova Foundation, has the power to approve, within the scope of the Foundation, the plans, programs and projects that must be proposed by the Executive Board. Decisions must be taken by, at least , 5 (five) votes from its members. The Board of Governors must consist of nine full members and an equal number of substitute advisors, as follows:
Two effective members and two substitute members appointed by the Articulation of Regional Chambers from among those affected or technicians chosen by them¹

ADVISORY BOARD
The Advisory Board has the power to give its opinion on plans, programs and projects, in addition to indicating solution proposals for the damage caused by the collapse of the dam.
After the TAC Governance agreement its composition is:
- 4 representatives of the Doce River Basin Committee,
- 7 representatives of the affected people appointed by local committees
- 2 representatives of NGOs linked to marine life appointed by the CIF and environmental rights nominated by the Public Prosecution Service.
- 3 representatives of academic institutions appointed, respectively, by the Renova Foundation, CIF and Public Prosecution Service
- 1 representative of an entity active in economic development appointed by the Renova Foundation
2 members of human rights NGOs appointed by the Public Prosecution Service and Public Defender’s Office.

Executive Board
The Executive Board of the Renova Foundation is responsible for elaborating, proposing, facilitating and implementing the plans, programs and projects already approved by the Board of Governors and take on specific actions necessary to implement them, in addition to responding to the organization’s everyday activities.
Camilo Farace

Graduated in business administration, with a postgraduate degree in Human Resources, an MBA in Finance and a specialization in Development Management from the University of Cape Town, as well as other training in management and leadership from Fundação Dom Cabral, Insead and Kellogg Executive Education, Camilo Farace has 38 years of experience in large companies.
Luiz Scavarda
Program Director
Electrical Engineer from PUC-RJ, with a master’s degree in International Administration from King’s College London and specializations in finance, leadership and management and health from FGV, IMD and MIT and Einstein, Luiz Scavarda brings to his career experience in large organizations such as Shell, Whirlpool and Vale. He worked in the areas of Engineering, Finance, Commercial and Supplies and Sustainability, relating to stakeholders in the private and public spheres on the national and international scene.

Wallace Ferreira, graduated in Civil Engineering, has 34 years of experience in leading multidisciplinary teams focused on the Implementation of large Industrial Projects, working in the automotive, cement, food, chemical, steel and mining sectors.
Fabiano Faria Maia
General Counsel
Fabiano Maia has a degree in Law from Fumec, with specializations in Business Law and Civil Law, from PUC Minas, and in Business Management and Executive MBA, from Fundação Dom Cabral. He worked for more than 20 years as a legal executive focusing on management, restructuring, innovation and digital transformation of the legal area, in Brazil and abroad. Throughout his career, he has advised companies on M&A and Capital Markets operations, in addition to advising administrations on strategic topics and participating in solutions for complex topics, in different segments in the areas of Governance, Compliance, M&A, Capital Markets, Contracts , Corporate, Competition, Regulatory, Labor, Tax and Civil, in general.
Juliana Souto
Director of Planning and Management
Juliana has more than 25 years of experience in mining and the third sector. Graduated in Psychology from the Federal University of Espírito Santo, with a specialization in Strategic People Management and Leadership, and an Executive MBA from Fundação Dom Cabral. Works in the area of Organizational Development, leading large management projects, involving organizational change management, culture, integration of values, organizational redesign, career and succession, remuneration, benefits, personnel administration, labor relations, human rights and health and safety. She currently works as director of the areas of People Management, Health and Safety, Human Rights, Strategy, PMO, Supplies, Contract Administration and Information Technology, Facilities, Health and Safety.
By establishing an organization dedicated exclusively to the repair process, a robust governance model was also created, with more than 70 entities present. The answers to each challenge are taken together, and no party involved has control over the decision.
The TTAC constituted the Interfederative Committee (CIF), a collegiate system that brings together representatives of public agencies and society and is led by Ibama. The CIF functions as an external and independent instance of the Renova Foundation, with the function of guiding, monitoring, following-up and enforcing the repair measures. It has eleven Technical Chambers, advisory bodies set up to assist the Interfederative Committee in carrying out its purpose.
In internal forums, the Board of Trustees – composed of representatives appointed by the CIF and Vale, BHP and Samarco companies – is responsible for approving the plans, programs and projects proposed by the Executive Board of the Renova Foundation.
The Advisory Council – comprised of representatives from affected communities, basin committees, Ibama and academic institutions – represents the society within the foundation. Its role is to offer an opinion on plans, programs and projects, in addition to indicating proposals for solutions to the damages caused by the collapse of the dam.
The internal governance also counts on the Fiscal Council, responsible for the activities of oversight of the management and evaluation of the accounts, verification of the conformity of the actions executed in accounting and financial terms.
In June 2018, a new commitment was signed, the Governance Conduct Adjustment Term (TAC), which incorporates the participation of those affected in all instances of the decision-making processes of the repair, improving the model of collective construction of solutions.
The Governance TAC establishes the creation of regional chambers and local commissions, which are being organized with the support of independent technical advisors and will represent the affected communities. Representatives of these chambers and committees will comprise the Interfederative
Committee, the Board of Trustees and the Advisory Council of the Renova Foundation.
From the beginning, the activities of the Renova Foundation are accompanied by the Public Ministry of Foundations of Minas Gerais State (MPMG), which ensures the fulfillment of the objectives and the operation of this disaster repair model, previously unheard in Brazil.
Externally, an independent panel with the International Union for Conservation of Nature and Natural Resources (IUCN) was also set up to monitor the evolution of the scientific components of the process as a whole.
